1. Introduction and Acceptance of Terms

Welcome to DGTL HORIZON LTD.
These Terms of Service ("Terms") govern your access to and use of the dgtlhorizon.io website and the B2B technology, automation, and AI integration services ("Services") provided by DGTL HORIZON LTD ("we", "us", or "our"). By accessing our website or engaging our Services, you agree to be bound by these Terms.
If you do not agree, you must not use our website or Services.

3. Description of Services

DGTL HORIZON LTD provides custom digital architecture, workflow automation, AI model integration, and data-driven marketing solutions specifically designed for Business-to-Business (B2B) clients. We do not provide mass-market consumer software (SaaS). All projects are custom-scoped and governed by individual Statements of Work (SOW) or direct service agreements.

4. Client Obligations

To enable us to deliver our Services effectively, you agree to:

  • Provide timely access to necessary data, APIs, third-party software accounts, and internal systems required for integration.
  • Ensure that you have the legal right to share any data or access provided to us.
  • Respond to requests for feedback or approvals within the timeframes specified in your individual agreement to avoid project delays.

5. Intellectual Property Rights

  • Background Technology: DGTL HORIZON LTD retains all rights, title, and interest in our pre-existing code libraries, proprietary automation blueprints, and internal methodologies.
  • Deliverables: Upon full and final payment for our Services, the client is granted a non-exclusive, non-transferable license to use the custom workflows and integrations deployed within their ecosystem, unless explicitly stated otherwise in a separate agreement.

6. Third-Party Services and AI Models

Our automated systems frequently interact with third-party software, APIs, and AI language models (e.g., OpenAI, AWS, Google Cloud, Make).

  • We are not responsible for downtimes, data breaches, feature deprecations, or pricing changes enforced by these third-party providers.
  • If a third-party tool modifies its API or terms, requiring us to rebuild or adjust your automation pipelines, such work will be billed as standard maintenance or under a new scope of work.

7. Payments and Refunds

Due to the highly customized, labor-intensive nature of digital architecture and software integration, all payments are non-refundable once engineering or consultation work has commenced. Payment terms, milestones, and ongoing retainer fees will be explicitly detailed in your specific service agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DGTL HORIZON LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability exceed the total amount paid by you to DGTL HORIZON LTD for the specific Service in the three (3) months preceding the claim.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.

10. Amendments

We reserve the right to modify or replace these Terms at any time at our sole discretion. It is your responsibility to review these Terms periodically. Continued use of our website or Services following any changes constitutes acceptance of those changes.
